Talks Machina Fan Art & Cosplay of the Week Contest

OFFICIAL RULES

The “Talks Machina Fan Art of the Week and Cosplay of the Week” Contest (the “Contest”) is intended for legal residents of the United States of America (including D.C.) and Canada (excluding the province of Quebec) only. Do not enter this Contest if you are not located in the USA or Canada at the time of entry. The Contest is sponsored by Gilmore’s Glorious Goods, LLC, 3727 W Magnolia Blvd #817, Burbank, CA 91505 (the “Sponsor”).

ELIGIBILITY: The Contest is open to legal U.S. residents residing in the fifty (50) United States, the District of Columbia, (excluding Guam and all other U.S. foreign territories and possessions), and permanent legal residents of Canada (excluding the province of Quebec) who are at least eighteen (18) years of age or the age of majority, whichever is older, in their respective states/provinces of permanent residence at time of entry (the “Entrants”). Employees, officers and representatives of the Sponsor, Gilmore’s Glorious Goods, LLC, their respective parent companies, employees, officers, directors, subsidiaries, affiliates, distributors, sales representatives and advertising and promotional agencies, and the officers, directors, agents, and employees of each of the foregoing, and members of their immediate families (defined as including spouse, biological, adoptive and step-parents, grandparents, siblings, children and grandchildren, and each of their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above (collectively, the “Released Parties”) are NOT eligible to participate in this Contest. Non-eligibility or non-compliance with any of these Official Rules will result in disqualification. Void where prohibited or restricted by law. (For the avoidance of doubt, any references in these Rules to Entrants shall also include those Entrants who are deemed Winners (as defined below)).

AGREEMENT TO OFFICIAL RULES: By participating, Entrants agree to abide by and be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the Contest. Winning a Prize (as defined below) is contingent upon fulfilling all requirements set forth herein.

SUBMISSION PERIOD: For all purposes of Contest, the Sponsor’s computer is the official clock and all times refer to Pacific Time (“PT”). The Submission Period of the Contest begins at 9:00:00 p.m. PT on March 30, 2021 and ends at 8:59:59 p.m. PT on, June 29, 2021 (“Submission Period”).

HOW TO ENTER: During the Submission Period, eligible Entrants can be entered into the Contest by going to the Sponsor’s website, www.critrole.com/submit (the “Website”). At the Website, Entrants must complete the registration by providing:

• Full Name
• Email Address
• Submission Type/Category
  • To enter a respective Talks Machina Fan Art of the Contest, Entrants must create and submit a piece of 2D artwork.
  • To enter a respective Talks Machina Cosplay of the Week Contest, Entrants must create and submit photo of themselves in cosplay. NOTE: Each photo submission must only show the Entrant. Any photo submission containing a group or person other than the Entrant will be disqualified.

Each completed online registration received during the Submission Period will account for one (1) valid Contest entry for the Category selected (“Fan Art Contest Entry” or (“Cosplay of the Week Contest Entry”). The Entrant is responsible for all costs associated with entry. In the event that more than one of exactly the same submission is submitted, only the first submission received shall be accepted.

ENTRY REQUIREMENTS/RESTRICTIONS: Once submitted, an entry cannot be deleted, canceled or modified. In order to be eligible, entries must actually be received by Sponsor during the Submission Period.  Entries received by Sponsor before the start of the Submission Period or after the end of the Submission Period will be discarded and deemed VOID. For purposes of this Contest, an entry is “received” when the Website’s servers record the entry information.  Proof of submitting a Contest entry form online (such as an automated computer receipt confirming entry or “thanks for entering” screen or message) will not be deemed by Sponsor to constitute proof of actual receipt by Sponsor of an entry for purposes of this Contest.  Those who do not follow all of the instructions, do not provide the required information in their entry form, or do not abide by these Official Rules or other instructions of Sponsor will be disqualified.  All entries become property of Sponsor and will not be returned or acknowledged. Entries made by any other individual or any entity, and/or using any e-mail address other than the Entrant’s or any other website, including, without limitation, commercial promotion subscription notification and/or entering service sites, will be declared invalid and disqualified. Your submission of an entry constitutes your representation of eligibility, consent to participate in Contest and consent for Sponsor to obtain, use, and transfer your name, address, photograph and other information for the purpose of Contest administration.

Entrants represent and warrant that their submitted entry is the original work of the Entrant, has not been previously published, has not won previous awards, and does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity and must have been created in a legal and safe manner. If the entry contains any material or elements that are not owned by the Entrant or provided by the Sponsor, and/or are subject to the rights of third parties, the Entrant is responsible for obtaining, prior to submission of the entry, any and all releases and consents necessary to permit the use and exhibition of the entry by Sponsor in the manner set forth in these Official Rules, including, without limitation, name and likeness releases for any person who appears in or is identifiable in the entry (collectively, the “Clearances”). By submitting an entry, an Entrant warrants and represents that he or she consents to the submission and use of the entry in the Contest.

By submitting an entry, each Entrant warrants and represents that the Entry is entirely the original creation/work of the Entrant and that use of the Entry as described herein will not violate any law or infringe upon the rights, title, claim or interest of any third party and certify that Entrant is the creator and sole copyright owner of the Entry.

Entries may not contain any image or depiction of the following: (i) materials which include or constitute trademarks, trade names or copyrighted works created or owned by any person or entity other than Entrant or for which the Entrant has obtained owner’s written permission to use (Sponsor’s discretion); (ii) materials bearing profanities, or bearing the name or likeness of any celebrity, living or dead; (iii) materials which contain visible identifiable or potentially identifiable information, including but not limited to, phone numbers, website links, street addresses, e-mail addresses or license plate numbers; (iv) inappropriate behavior for a general audience; (v) any depiction of real or simulated sexual acts; (vi) violence in any form; (vi) materials which violate anyone’s reasonable privacy expectations, violate any known agreement, or which are defamatory in nature; (viii) materials which are derogatory to Sponsor, or any affiliated entity or person; (ix) materials which are discriminatory based on race, religion, national origin, physical disability, age, sex, or sexual orientation or preference; (x) materials in which any person identifiably appears unless Entrant has obtained an appropriate written release from such person granting all rights required herein; and, (xi) materials which do not comply with all other requirements in these Official Rules.  Entries that do not conform to these guidelines will be disqualified. Sponsor reserves the right to reject or disqualify any entry which Sponsor, in its sole and absolute discretion, determines to be inconsistent with the letter or spirit of the Official Rules or potentially damaging to its, the Contest’s, or another’s image or reputation.

GENERAL CONDITIONS: If for any reason the operation or administration of this Contest is impaired or incapable of running as planned for any reason, including but not limited to: (a) infection by computer virus, bugs, (b) tampering, unauthorized intervention, (c) fraud, (d) technical failures, or (e) any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest in whole or in part, at any time, without notice and award the Prizes (defined below) using all non-suspect eligible entries received as of, or after (if applicable) this cancellation, termination, modification or suspension date, or in any manner that is fair and equitable and best conforms to the spirit of these Official Rules.  Sponsor reserves the right, at its sole discretion, to disqualify any individual deemed to be (a) tampering or attempting to tamper with the entry process or the operation of the Contest or Sponsor’s Website; or (b) acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.  Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.  In the event of a dispute as to the identity of a winner based on an email address, the winning entry will be declared by the authorized account holder of the email address submitted at time of entry. “Authorized account holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Contest, Entrants agree to release and hold harmless the Released Parties from and against any claim or cause of action arising out of participation in the Contest or receipt or use of any prize, including, but not limited to: (a) any technical errors that may prevent an Entrant from submitting an entry; (b) unauthorized human intervention in the Contest; (c) printing errors; (d) errors in the administration of the Contest or the processing of entries; or (e) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Contest or receipt of any prize.  Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Released Parties are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in this Contest or downloading any materials in this Contest.  Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Contest, and in no event shall the Released Parties be liable for attorney’s fees.  Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

WINNER DETERMINATION & NOTIFICATION: On every other Tuesday (bi-weekly) throughout the Submission Period, the Sponsor will judge/score all entries received (to that point). During each Judging Period, each Entry will be reviewed by a qualified judge or panel of judges appointed by the Sponsor. All eligible Entries will be judged and scored based on the following criteria: 1) one (1) – ten (10) points for “Creativity”, 2) one (1) – ten (10) points for “Design”, and 3) one (1) – ten (10) points for “Artistic Merit” for a total of thirty (30) possible points (collectively “Judging Criteria”). The Fan Art Contest Entry with the most points will be deemed a potential Prize Winner. The Cosplay of the Week Contest Entry with the most points will be deemed a potential Prize Winner. NOTE: There will be two (2) Prize Winner per week (1 Fan Art Winner and 1 Cosplay of the Week Winner). In the event of a tie, the Entry that scored higher for “Creativity” will be declared a winner. In the event of a further tie, the Entry that scored higher for “Humor” will be declared the winner. In the event of a further tie, the Judges, in their sole and absolute discretion, shall go to another personality on the Show to choose the winner(s) based on an evaluation of which Entry is superior overall taking all Judging Criteria into consideration. Judges have the right, in their sole discretion, to select less than one (1) winner (per individual Contest Period) based on an insufficient number or quality of potential eligible Entries. All decisions of the Sponsor (and appointed judge(s)) are final and binding. Each potential Prize Winner will be notified via email.                                    

PRIZES & PRIZE CONDITIONS: There will be fourteen Prizes (“Prize”) awarded throughout the Contest (7 Fan Art Prizes; 7 Cosplay of the Week Prizes).

Each Prize will consist of a $100.00 USD Critical Role Gift Card redeemable at the Critical Role US online shop.

Total (maximum) Prize Pool – $1,400. If actual value of a Prize is lower than the stated ARV when Prize is procured and fulfilled, then the difference will not be awarded. By accepting a Prize, the Winners agree to release the Released Parties from any and all liability whatsoever for any injuries, losses, or damages of any kind caused by entering the promotion or for damages of any kind caused by any prize or resulting from acceptance, possession, or use/misuse of prize awarded. All other expenses, including, but not limited to taxes, not specifically mentioned herein are the responsibility of the Winners. The Prizes are not exchangeable, transferable, or redeemable for cash. There are no substitutions unless specified by the Sponsor. The Sponsor reserves the right in its sole discretion to substitute any Prize package with another prize of equal or greater value in the event that the Prize (or any component thereof) is not available as determined by the Sponsor in its sole discretion. 

By accepting a Prize, the Winners agree to release and hold harmless the Released Parties, each of their related companies, and each of their respective officers, directors, employees, shareholders, and agents from and against any claim or cause of action arising out of participation in the Contest or receipt or use of the Prize. The Winners will each be responsible for all local, state, and federal taxes associated with the receipt of the Prize. All Winners are solely responsible for all matters relating to the Prize after it is awarded. If a Prize or Prize notification is returned as unclaimed or undeliverable to a potential Winner, if a potential Winner cannot be reached or do not reply as instructed within two (2) calendar days from the first notification attempt, or if a potential Winner is not in compliance with these Official Rules, then such person shall be disqualified and, at Sponsor’s sole discretion, an alternate Winner may be selected for the Prize at issue (based on Judges’ scoring).

By accepting a Prize, where permitted by law, the Winners grant to the Released Parties and those acting pursuant to the authority of Sponsor and the Released Parties (which grant will be confirmed in writing upon Sponsor’s request), the right to print, publish, broadcast and use worldwide IN ALL MEDIA without limitation at any time their  full name, portrait, picture, voice, likeness and/or biographical information for advertising, trade and promotional purposes without further payment or additional consideration, and without review, approval or notification. IN NO EVENT WILL RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) ARISING OUT OF PARTICIPATION IN THIS CONTEST OR THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE. By participating, Entrants release and agree to hold harmless the Released Parties from any and all liability for any injuries, death or losses or damages to persons or property AS WELL AS CLAIMS/ACTIONS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY that may arise from participating in this Contest or its related activities or the acceptance, possession, use or misuse of, or any harm resulting from the acceptance, possession, use or misuse of the Prize. The Winners also acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prize.

DISPUTES: By entering the Contest, Entrants agree that i) Any and all disputes, claims, and causes of action arising out of or connected with the Contest, or any Prizes awarded, shall be resolved individually, without resort to any form of class action; ii) Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest but in no event attorney fees and iii) Under no circumstances will any Entrant be permitted to obtain any award for, and Entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrants and Sponsor or the Released Parties in connection with the Contest, shall be governed by, and construed in accordance with United States law. Any legal proceedings arising out of this Contest or relating to these Official Rules shall be instituted only in the federal or state courts of California, and the parties consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these Official Rules. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

SEVERABILITY: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. If any provision of the Official Rules is determined to be invalid or otherwise unenforceable, the other provisions will remain in effect and will be construed as if the invalid or unenforceable provision were not contained herein.

MISCELLANEOUS: These Official Rules contain the full and complete understanding with respect to the Contest and supersede all prior and contemporaneous agreements, representations and understandings, whether oral or written. The headings herein are for convenience only, do not constitute a part of these Official Rules, and shall not be deemed to limit or affect any of the provisions hereof. No amendment to, or waiver of, any provision of these Official Rules shall be effective unless in writing and signed by both Sponsor and Administrator.  The waiver by Sponsor or Administrator of any provision of these Official Rules shall not constitute a waiver of any other provision herein. The rights and obligations hereunder may not be assigned by Entrant, whether by operation of law or otherwise, without the prior written consent of Sponsor, and any attempted assignment in violation of the foregoing shall be null and void.  These Official Rules shall be binding upon, and inure to the benefit of, the permitted successors and assigns of Sponsor, Administrator, and Entrant.

Critical Role Show Sweepstakes [PROMOTION HAS ENDED]

The Sweepstakes begins at 9:00:01 p.m. PT on January 9, 2020 and ends at 11:59:59 p.m. PT on March 26, 2020 (“Sweepstakes Period”). The Sweepstakes Period will be separated into the twelve (12) following Entry Periods (“Entry Period”):

HOW TO ENTER: To enter a respective individual Sweepstakes during the Wyrmwood Gaming Sweepstakes, Entrants must access the chat room during a respective Critical Role episode being broadcast during the Wyrmwood Gaming Sweepstakes Period and participate in a live chat (“Chat”) using Critical Role’s Twitch channel at twitch.tv/criticalrole. During each respective episode, a specific keyword (“Keyword”) will be announced at approximately 9:00 pm PT (Subject to change. Actual time may vary at Sponsor’s sole discretion. Watch Show for details). After submitting a Chat comment/response with the correct Keyword, said Entrant will then receive one (1) entry into the respective individual sweepstakes (“Wyrmwood Gaming Sweepstakes Entry”). Limit one (1) Wyrmwood Gaming Sweepstakes Entry per person per chat handle per episode of Critical Role airing during the Wyrmwood Gaming Sweepstakes Period. Entries for each individual Sweepstakes must be received by the time noted by Sponsor during the respective episode of Critical Role on each respective Thursday. Wyrmwood Gaming Sweepstakes Entries for the last individual Sweepstakes must be received by approximately 9:15 pm PT on March 26, 2020.

The use of automated entry devices is prohibited and no mechanically reproduced entries are allowed; all such entries are void. Released Parties are not responsible for: late, incomplete, inaccurate, delayed, undelivered, or misdirected entries. All entries become the exclusive property of Sponsor and will not be acknowledged or returned. By participating, you consent for Sponsor to obtain, use, and transfer your name, address and other information for the sole purpose of administering this Sweepstakes. All information submitted by Entrants will be treated according to Sponsor’s privacy policy, available at https://critrole.com/privacy-policy/. By entering the Sweepstakes and providing their email address and other contact information, Entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.

Released Parties are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any email or Entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to Entrant’s or any other person’s computer relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorney fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

DRAWING AND NOTIFICATION: The potential Prize Winners will be selected in twelve (12) random drawings from among all eligible Entries received throughout each Entry Period (one Winner per Entry Period). The Prize drawings will be conducted by the Sponsor (or Sponsor representative), whose decisions are final and binding. The Prize drawings will be conducted on or about the day immediately following each Entry Period. The potential Prize Winners will each be contacted by the Sponsor via email. Odds of winning a Prize will depend on the total number of eligible Entries received during the Entry Period in question. NOTE: Entries received in an Entry Period are only value for that Entry Period will not carry over into subsequent Entry Period. 

PRIZES & PRIZE CONDITIONS: There will be a total of twelve (12) Prize Winners. Each Prize Winner (“Winner”) will receive a Wyrmwood Gaming gift to be determined by the Sponsor, in their sole discretion (“Prize”). Each Prize will not exceed $500.00 USD in value. Total Prize Pool – $6,000.00. All other expenses associated with Prize acceptance or usage not defined herein are the responsibility of the Winners. NOTE: Substitution, assignment or transfer of the Prize is not permitted, except by Sponsor, who reserves the right to substitute the Prize or any Prize component with another of comparable or greater value.

Should a selected Prize Winner be a Canadian citizen, the selected Entrant must answer correctly without assistance of any kind, whether mechanical, electronic or otherwise, a mathematical skill-testing question posed by mail or telephone. If the selected Entrant fails to correctly answer the question he/she will be disqualified and another Entrant will be randomly selected. The potential Prize Winner who correctly answers the skill-testing question will be notified by telephone and/or mail and/or email at the Sponsors’ discretion using the contact information provided at the time of entry.

By accepting a Prize, the Winners agree to release and hold harmless the Released Parties, each of their related companies, and each of their respective officers, directors, employees, shareholders, and agents from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the Prize. MISCELLANEOUS: These Official Rules contain the full and complete understanding with respect to the Sweepstakes and supersede all prior and contemporaneous agreements, representations and understandings, whether oral or written. The headings herein are for convenience only, do not constitute a part of these Official Rules, and shall not be deemed to limit or affect any of the provisions hereof. No amendment to, or waiver of, any provision of these Official Rules shall be effective unless in writing and signed by the Sponsor. OFFICIAL RULES

The “Pub Draw” Contest (the “Contest”) is intended for legal residents of the United States of America (including D.C.) and Canada (excluding the province of Quebec) only. Do not enter this Contest if you are not located in the USA or Canada at the time of entry. The Contest is sponsored by Critical Role, 3727 W Magnolia Blvd #817, Burbank, CA 91505(the “Sponsor”).

ELIGIBILITY: The Contest is open to legal U.S. residents residing in the fifty (50) United States, the District of Columbia, (excluding Guam and all other U.S. foreign territories and possessions), and permanent legal residents of Canada (excluding the province of Quebec) who are at least eighteen (18) years of age or the age of majority, whichever is older, in their respective states/provinces of permanent residence as of October 16, 2019 (the “Entrants”). Employees, officers and representatives of the Sponsor, Wacom, their respective parent companies, employees, officers, directors, subsidiaries, affiliates, distributors, sales representatives and advertising and promotional agencies, and the officers, directors, agents, and employees of each of the foregoing, and members of their immediate families (defined as including spouse, biological, adoptive and step-parents, grandparents, siblings, children and grandchildren, and each of their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above (collectively, the “Released Parties”) are NOT eligible to participate in this Contest. Non-eligibility or non-compliance with any of these Official Rules will result in disqualification. Void where prohibited or restricted by law.  (For the avoidance of doubt, any references in these Rules to Entrants shall also include those Entrants who are deemed Winners (as defined below)).

AGREEMENT TO OFFICIAL RULES: By participating, Entrants agree to abide by and be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the Contest. Winning a Prize (as described below) is contingent upon fulfilling all requirements set forth herein.

SUBMISSION PERIOD: For all purposes of Contest, the Sponsor’s computer is the official clock and all times refer to Pacific Time (“PT”). The Submission Period of the Contest begins at 9:00:00 p.m. PT on October 16, 2019 and ends at 11:59:59 p.m. PT on December 10, 2019 (“Submission Period”). The Submission Period will be separated into the seven () following Entry Periods (“Entry Period”):

HOW TO ENTER: To enter a respective Contest, Entrants must create and submit a piece of 2D artwork via email to Pubdraw@critrole.com between 6:00:00pm PT on a Wednesday and 5:59:59am PT the following Tuesday. After submitting an email with a picture of the artwork, said Entrant will then receive one (1) entry into the respective individual contest (“Contest Entry”). Contest Entries must be received during the Entry Period for that individual contest. Contest Entries for the last individual contest must be received by 5:59:59pm PT on December 10, 2019.

The Entrant is responsible for all costs associated with entry. In the event that more than one of exactly the same Entry is submitted, only the first submission received shall be accepted.

ENTRY REQUIREMENTS/RESTRICTIONS: Once submitted, an entry cannot be deleted, canceled or modified. In order to be eligible, entries must actually be received by Sponsor during the Submission Period.  Entries received by Sponsor before the start of the Submission Period or after the end of the Submission Period will be discarded and deemed VOID. For purposes of this Contest, an entry is “received” when the Website’s servers record the entry information.  Proof of submitting a Contest entry form online (such as an automated computer receipt confirming entry or “thanks for entering” screen or message) will not be deemed by Sponsor to constitute proof of actual receipt by Sponsor of an entry for purposes of this Contest.  Those who do not follow all of the instructions, do not provide the required information in their entry form, or do not abide by these Official Rules or other instructions of Sponsor will be disqualified.  All entries become property of Sponsor and will not be returned or acknowledged. Entries made by any other individual or any entity, and/or using any e-mail address other than the Entrant’s or any other website, including, without limitation, commercial promotion subscription notification and/or entering service sites, will be declared invalid and disqualified. Your submission of an entry constitutes your representation of eligibility, consent to participate in Contest and consent for Sponsor to obtain, use, and transfer your name, address, photograph and other information for the purpose of Contest administration.

Entrants represent and warrant that their submitted entry is the original work of the Entrant, has not been previously published, has not won previous awards, and does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity and must have been created in a legal and safe manner. If the entry contains any material or elements that are not owned by the Entrant or provided by the Sponsor, and/or are subject to the rights of third parties, the Entrant is responsible for obtaining, prior to submission of the entry, any and all releases and consents necessary to permit the use and exhibition of the entry by Sponsor in the manner set forth in these Official Rules, including, without limitation, name and likeness releases for any person who appears in or is identifiable in the entry (collectively, the “Clearances”). By submitting an entry, an Entrant warrants and represents that he or she consents to the submission and use of the entry in the Contest.

By submitting an entry, each Entrant warrants and represents that the Entry is entirely the original creation/work of the Entrant and that use of the Entry as described herein will not violate any law or infringe upon the rights, title, claim or interest of any third party and certify that Entrant is the creator and sole copyright owner of the Entry.

Entries may not contain any image or depiction of the following: (i) materials which include or constitute trademarks, trade names or copyrighted works created or owned by any person or entity other than Entrant or for which the Entrant has obtained owner’s written permission to use (Sponsor’s discretion); (ii) materials bearing profanities, or bearing the name or likeness of any celebrity, living or dead; (iii) materials which contain visible identifiable or potentially identifiable information, including but not limited to, phone numbers, website links, street addresses, e-mail addresses or license plate numbers; (iv) inappropriate behavior for a general audience; (v) any depiction of real or simulated sexual acts; (vi) violence in any form; (vi) materials which violate anyone’s reasonable privacy expectations, violate any known agreement, or which are defamatory in nature; (viii) materials which are derogatory to Sponsor, or any affiliated entity or person; (ix) materials which are discriminatory based on race, religion, national origin, physical disability, age, sex, or sexual orientation or preference; (x) materials in which any person identifiably appears unless Entrant has obtained an appropriate written release from such person granting all rights required herein; and, (xi) materials which do not comply with all other requirements in these Official Rules.  Entries that do not conform to these guidelines will be disqualified. Sponsor reserves the right to reject or disqualify any entry which Sponsor, in its sole and absolute discretion, determines to be inconsistent with the letter or spirit of the Official Rules or potentially damaging to its, the Contest’s, or another’s image or reputation.

GENERAL CONDITIONS: If for any reason the operation or administration of this Contest is impaired or incapable of running as planned for any reason, including but not limited to: (a) infection by computer virus, bugs, (b) tampering, unauthorized intervention, (c) fraud, (d) technical failures, or (e) any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest in whole or in part, at any time, without notice and award the Grand Prize (defined below) using all non-suspect eligible entries received as of, or after (if applicable) this cancellation, termination, modification or suspension date, or in any manner that is fair and equitable and best conforms to the spirit of these Official Rules.  Sponsor reserves the right, at its sole discretion, to disqualify any individual deemed to be (a) tampering or attempting to tamper with the entry process or the operation of the Contest or Sponsor’s Website; or (b) acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. WINNER DETERMINATION & NOTIFICATION: Following the conclusion of each Entry Period, the Sponsor will judge/score all entries received. Entries will received in a given Entry Period will not carry over and be eligible in subsequent Entry Periods. During each Judging Period, each Entry will be reviewed by a qualified judge or panel of judges appointed by the Sponsor. All eligible Entries will be judged and scored based on the following criteria: 1) one (1) – ten (10) points for “Creativity”, 2) one (1) – ten (10) points for “Relevant Content”, and 3) one (1) – ten (10) points for “Artistic Merit” for a total of thirty (30) possible points (collectively “Judging Criteria”). The Contest Entry with the most points will be deemed a potential Prize Winner. NOTE: There will be one (1) Prize Winner per Entry Period. In the event of a tie, the Entry that scored higher for “Creativity” will be declared a winner. In the event of a further tie, the Entry that scored higher for “Relevant Content” will be declared the winner. In the event of a further tie, the Judges, in their sole and absolute discretion, shall go to another personality on the Show to choose the winner(s) based on an evaluation of which Entry is superior overall taking all Judging Criteria into consideration. Judges have the right, in their sole discretion, to select less than one (1) Winner (per individual Entry Period) based on an insufficient number or quality of potential eligible Entries. All decisions of the Sponsor (and appointed judge(s)) are final and binding. Each potential Prize Winner will be notified via email.

PRIZES & PRIZE CONDITIONS: There will be seven (7) Prizes (“Prize”) awarded throughout the Contest. Prizes are as follows:

-Winners for Entry Period #1 thru Entry Period #6 will each be awarded one (1) Wacom Cintiq 16 (ARV – $499).

-Winners for Entry Period #7 will each be awarded one  (1) Wacom Cintiq 22 (ARV – $599).

Total Prize Pool – $3,593. If actual value of a Prize is lower than the stated ARV when Prize is procured and fulfilled, then the difference will not be awarded. By accepting a Prize, the Winners agree to release the Released Parties from any and all liability whatsoever for any injuries, losses, or damages of any kind caused by entering the promotion or for damages of any kind caused by any prize or resulting from acceptance, possession, or use/misuse of prize awarded. All other expenses, including, but not limited to taxes, not specifically mentioned herein are the responsibility of the Winners. The Prizes are not exchangeable, transferable, or redeemable for cash. There are no substitutions unless specified by the Sponsor. NO PURCHASE OR PAYMENT OF MONEY IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES.  A PURCHASE OR PAYMENT OF MONEY WILL NOT IMPROVE THE CHANCES OF WINNING. 

The “Pub Draw” Sweepstakes (the “Sweepstakes”) is intended for legal residents of the United States of America and Canada only (excluding the province of Quebec) and shall be construed and evaluated according to U.S. law and Canadian law. The Sweepstakes is sponsored by Critical Role, 3727 W Magnolia Blvd #817, Burbank, CA 91505 (the “Sponsor”).

ELIGIBILITY: The Sweepstakes is open to legal U.S. residents residing in the fifty (50) United States, the District of Columbia, (excluding Guam and all other U.S. foreign territories and possessions), and permanent legal residents of Canada (excluding the province of Quebec) who are at least eighteen (18) years of age or the age of majority, whichever is older, in their respective states/provinces of permanent residence as of October 16, 2019 (the “Entrants”). Employees, officers and representatives of the Sponsor, Wacom, their respective parent companies, employees, officers, directors, subsidiaries, affiliates, distributors, sales representatives and advertising and promotional agencies, and the officers, directors, agents, and employees of each of the foregoing, and members of their immediate families (defined as including spouse, biological, adoptive and step-parents, grandparents, siblings, children and grandchildren, and each of their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above (collectively, the “Released Parties”) are NOT eligible to participate in this Sweepstakes. Non-eligibility or non-compliance with any of these Official Rules will result in disqualification. Void where prohibited or restricted by law. 

(For the avoidance of doubt, any references in these Rules to Entrants shall also include those Entrants who are deemed Winners (as defined below)).

AGREEMENT TO OFFICIAL RULES: By participating, Entrants agree to abide by and be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the Sweepstakes. Winning a Prize (as described below) is contingent upon fulfilling all requirements set forth herein.

SWEEPSTAKES PERIOD: For all purposes of Sweepstakes, the Sponsor’s computer is the official clock and all times refer to Pacific Time (“PT”). The Sweepstakes begins at 6:00:01 p.m. PT on October 16, 2019 and ends at 11:59:59 p.m. PT on December 4, 2019 (“Sweepstakes Period”). The Sweepstakes Period will be separated into the seven (7) following Entry Periods (“Entry Period”):

HOW TO ENTER: To enter a respective individual Sweepstakes, Entrants must access the chat room during a respective Pub Draw episode being broadcast during the Sweepstakes Period and participate in a live chat (“Chat”) using Critical Role Twitch at twitch.tv/criticalrole. During each respective episode, a specific keyword (“Keyword”) will be announced at approximately 6:00 pm PT (Subject to change. Actual time may vary at Sponsor’s sole discretion. Watch Show for details). After submitting a Chat comment/response with the correct Keyword, said Entrant will then receive one (1) entry into the respective individual sweepstakes (“Sweepstakes Entry”). Limit one (1) Sweepstakes Entry per person per chat handle per episode of Pub Draw airing during the Sweepstakes Period. Entries for each individual Sweepstakes must be received by the time noted by Sponsor during the respective episode of Pub Draw on each respective Wednesday. Sweepstakes Entries for the last individual Sweepstakes must be received by approximately 6:05 pm PT on December 4, 2019.

The use of automated entry devices is prohibited and no mechanically reproduced entries are allowed; all such entries are void. Released Parties are not responsible for: late, incomplete, inaccurate, delayed, undelivered, or misdirected entries. All entries become the exclusive property of Sponsor and will not be acknowledged or returned. By participating, you consent for Sponsor to obtain, use, and transfer your name, address and other information for the sole purpose of administering this Sweepstakes. All information submitted by Entrants will be treated according to Sponsor’s privacy policy, available at https://critrole.com/privacy-policy/. By entering the Sweepstakes and providing their email address and other contact information, Entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.

GENERAL CONDITIONS: If for any reason the operation or administration of this Sweepstakes is impaired or incapable of running as planned for any reason, including but not limited to (i) infection by computer virus, bugs; (ii) tampering, unauthorized intervention; (iii) fraud; (iv) technical failures or (v) any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the Entry process, and to cancel, terminate, modify or suspend the Sweepstakes in whole or in part, at any time, without notice and award the Prizes (defined below) using all non-suspect eligible Entries received as of, or after (if applicable) this cancellation, termination, modification or suspension date, or in any manner that is fair and equitable and best conforms to the spirit of these Official Rules. Sponsor reserves the right, at its sole discretion, to disqualify any individual deemed to be tampering or attempting to tamper with the Entry process or the operation of the Sweepstakes or Sponsor’s Website; or acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON (S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Sweepstakes, Entrants agree to release and hold harmless the Released Parties from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any Prize, including, but not limited to: (i) any technical errors that may prevent an Entrant from submitting an Entry; (ii) unauthorized human intervention in the Sweepstakes; (iii) printing errors; (iv) errors in the administration of the Sweepstakes or the processing of Entries; or (v) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes or receipt of any Prize.  Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries. Released Parties are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any email or Entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to Entrant’s or any other person’s computer relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorney fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

DRAWING AND NOTIFICATION: The potential Prize Winners will be selected in seven (7) random drawings from among all eligible Entries received throughout each Entry Period (one Winner per Entry Period, with five winners in the final Entry Period). The Prize drawings will be conducted by the Sponsor (or Sponsor representative), whose decisions are final and binding. The Prize drawings will be conducted on or about the day immediately following each Entry Period. The potential Prize Winners will each be contacted by the Sponsor via email. Odds of winning a Prize will depend on the total number of eligible Entries received during the Entry Period in question. NOTE: Entries received in an Entry Period are only value for that Entry Period will not carry over into subsequent Entry Period.

PRIZES & PRIZE CONDITIONS: There will be a total of twelve (12) Prize Winners. Each Prize Winner (“Winner”) between 10/16 and 10/30 will receive a Wacom Intuos Small tablet (“Prize”), between 11/6 and 11/20 will receive an Intuos Pro and on 12/4 each winner will receive five (5) Intuos. Each Prize has and approximate retail value of $79.00-$350 USD. Total Prize Pool – $1500.00. All other expenses associated with Prize acceptance or usage not defined herein are the responsibility of the Winners. NOTE: Substitution, assignment or transfer of the Prize is not permitted, except by Sponsor, who reserves the right to substitute the Prize or any Prize component with another of comparable or greater value.

Should a selected Prize Winner be a Canadian citizen, the selected Entrant must answer correctly without assistance of any kind, whether mechanical, electronic or otherwise, a mathematical skill-testing question posed by mail or telephone. If the selected Entrant fails to correctly answer the question he/she will be disqualified and another Entrant will be randomly selected. The potential Prize Winner who correctly answers the skill-testing question will be notified by telephone and/or mail and/or email at the Sponsors’ discretion using the contact information provided at the time of entry.

By accepting a Prize, the Winners agree to release and hold harmless the Released Parties, each of their related companies, and each of their respective officers, directors, employees, shareholders, and agents from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the Prize. The Winners will each be responsible for all local, state, and federal taxes associated with the receipt of the Prize. All Winners are solely responsible for all matters relating to the Prize after it is awarded. If a Prize or Prize notification is returned as unclaimed or undeliverable to a potential Winner, if a potential Winner cannot be reached within two (2) calendar days from the first notification attempt, or if a potential Winner is not in compliance with these Official Rules, then such person shall be disqualified and, at Sponsor’s sole discretion, an alternate Winner may be selected for the Prize at issue.

By accepting a Prize, where permitted by law, the Winners grant to the Released Parties and those acting pursuant to the authority of Sponsor and the Released Parties (which grant will be confirmed in writing upon Sponsor’s request), the right to print, publish, broadcast and use worldwide IN ALL MEDIA without limitation at any time their full name, portrait, picture, voice, likeness and/or biographical information for advertising, trade and promotional purposes without further payment or additional consideration, and without review, approval or notification. IN NO EVENT WILL RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) ARISING OUT OF PARTICIPATION IN THIS SWEEPSTAKES OR THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE. By participating, Entrants release and agree to hold harmless the Released Parties from any and all liability for any injuries, death or losses or damages to persons or property AS WELL AS CLAIMS/ACTIONS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY that may arise from participating in this Sweepstakes or its related activities or the acceptance, possession, use or misuse of, or any harm resulting from the acceptance, possession, use or misuse of the Prize. The Winners also acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prize.

DISPUTES: By entering the Sweepstakes, Entrants agree that i) Any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes, or any Prizes awarded, shall be resolved individually, without resort to any form of class action; ii) Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes but in no event attorney fees and iii) Under no circumstances will any Entrant be permitted to obtain any award for, and Entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrants and Sponsor or the Released Parties in connection with the Sweepstakes, shall be governed by, and construed in accordance with United States law. Any legal proceedings arising out of this Sweepstakes or relating to these Official Rules shall be instituted only in the federal or state courts of California, and the parties consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these Official Rules. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

SEVERABILITY: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. If any provision of the Official Rules is determined to be invalid or otherwise unenforceable, the other provisions will remain in effect and will be construed as if the invalid or unenforceable provision were not contained herein.

MISCELLANEOUS: These Official Rules contain the full and complete understanding with respect to the Sweepstakes and supersede all prior and contemporaneous agreements, representations and understandings, whether oral or written. The headings herein are for convenience only, do not constitute a part of these Official Rules, and shall not be deemed to limit or affect any of the provisions hereof. No amendment to, or waiver of, any provision of these Official Rules shall be effective unless in writing and signed by the Sponsor. The waiver by Sponsor of any provision of these Official Rules shall not constitute a waiver of any other provision herein. The rights and obligations hereunder may not be assigned by Entrant, whether by operation of law or otherwise, without the prior written consent of Sponsor, and any attempted assignment in violation of the foregoing shall be null and void. These Official Rules shall be binding upon, and inure to the benefit of, the permitted successors and assigns of the Sponsor and Entrant.
